Updated September 2026  ·  Coobo Media  ·  Imago Labs, LLC d/b/a Coobo Media

This Managed Hosting Services Agreement (the “Agreement”) governs managed website hosting services — including Base, Standard, eCommerce, and Industrial hosting plans — provided by Imago Labs, LLC d/b/a Coobo Media (“Coobo Media,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”). This Agreement supplements and incorporates the Coobo Media General Terms of Service. In the event of a conflict between this Agreement and the General Terms, this Agreement controls for hosting-related matters.

By purchasing, renewing, paying for, or continuing to use Hosting Services after receiving this Agreement, Client agrees to be bound by its terms.

1. Fees, Billing and Pricing

A valid credit card, ACH/EFT authorization, or other approved payment method is required for recurring monthly Hosting Services unless Coobo Media agrees otherwise in writing. Recurring charges are processed automatically each billing cycle.

Current pricing, service tiers, resource allowances, and included services are identified in a Client proposal or order form and are incorporated into this Agreement by reference. Client is responsible for all applicable taxes and governmental charges unless an exemption applies.

Coobo Media may change recurring Hosting Services pricing with thirty (30) days advance written notice. Continued use of Hosting Services after the effective date of a noticed price change constitutes acceptance of the new pricing.

2. Managed Hosting Services and Scope

Coobo Media provides managed WordPress hosting designed to support website availability, security, maintenance, and performance. Depending on the Client’s plan, Hosting Services may include:

  • Server infrastructure and hosting environment management;
  • Routine WordPress core, theme, and plugin updates performed in accordance with Coobo Media’s maintenance practices;
  • Website backups and restore points;
  • Uptime monitoring and basic performance optimization;
  • SSL certificate provisioning or management where supported by the hosting environment;
  • Security monitoring, vulnerability mitigation, and reasonable incident response efforts;
  • Access to staging or development environments where available under the applicable hosting platform; and
  • Hosting-related support and triage as described in this Agreement.

Hosting Services are intended to maintain the operational integrity of the website and hosting environment. They are not an unlimited website maintenance, development, design, IT, email, SEO, or marketing service.

Coobo Media maintains control of its hosting accounts, server configurations, management systems, monitoring tools, and related infrastructure. Any administrative, hosting-panel, database, SFTP/FTP, or other access provided to Client is limited, may be restricted for security or operational reasons, and may be revoked as permitted by this Agreement.

2.1 Hosting Environments

Hosting environments vary by plan. Base, Standard, and eCommerce plans are hosted on Nexcess managed WordPress infrastructure, a professional environment shared exclusively among Coobo Media client sites. The Industrial plan is hosted on WP Engine, a premium managed WordPress platform. Dedicated server environments via Cloudways are available for clients with higher performance, traffic, or security requirements. Clients will be informed of their specific hosting environment at onboarding.

3. Services Not Included in Standard Hosting

Unless expressly included in a Client’s plan or agreed to in writing, the following are outside standard Hosting Services and may be quoted or billed separately:

  • Website design, redesign, layout, styling, or branding changes;
  • Content creation, copywriting, content entry, image editing, or routine page updates;
  • New features, custom development, custom code, integrations, or ecommerce development;
  • Troubleshooting or remediation caused by third-party software, custom code, external systems, or changes made by Client or other vendors;
  • Email account setup, Microsoft 365 or Google Workspace administration, mailbox troubleshooting, spam filtering, or email-deliverability services;
  • Search engine optimization, paid media, analytics consulting, marketing, or accessibility remediation;
  • Domain registration, renewal, ownership disputes, or registrar account recovery unless separately contracted;
  • DNS work unrelated to operation of the hosted website;
  • Emergency or after-hours work not caused by the Coobo Media-managed hosting environment; and
  • Migration, transfer, forensic analysis, or remediation beyond the standard scope described in this Agreement.

Coobo Media will determine in good faith whether a request falls within the Hosting Services or constitutes billable work outside scope.

4. Client Responsibilities

Client is responsible for cooperating with Coobo Media and for maintaining the information, rights, and access reasonably necessary to provide the Hosting Services. Client agrees to:

  • Maintain accurate billing, ownership, technical, and emergency contact information;
  • Safeguard usernames, passwords, multi-factor authentication methods, API keys, and other credentials;
  • Use reasonable security practices for users who have access to the website or related systems;
  • Maintain all rights, permissions, consents, and licenses necessary for Client-provided content, software, images, data, and services;
  • Comply with applicable laws and not use the website or Hosting Services for prohibited activities;
  • Promptly notify Coobo Media of suspected compromise, unauthorized access, malware, or material service issues;
  • Cooperate with security remediation, software replacement, infrastructure migration, or other reasonable actions Coobo Media determines are needed to protect the website or hosting environment; and
  • Maintain independent records of business-critical information where loss of that information would create material harm to Client.

5. Client and Third-Party Administrative Access

If Client, Client personnel, or another vendor is granted WordPress administrator, hosting-panel, database, SFTP/FTP, DNS, registrar, or comparable access, Client accepts responsibility for changes made through that access.

Coobo Media is not responsible for failures, security incidents, loss of data, downtime, configuration errors, or other issues caused by Client or third-party changes outside Coobo Media’s control. Investigation, restoration, repair, or remediation of such issues may be billed separately.

Coobo Media may temporarily restrict or remove access when reasonably necessary to protect system integrity, investigate an incident, prevent damage, enforce payment obligations, or comply with law.

6. WordPress, Themes, Plugins and Third-Party Software

WordPress websites depend on software developed and maintained by third parties. Coobo Media will use reasonable efforts to maintain supported WordPress core, themes, and plugins included within the managed environment, but Coobo Media does not control third-party development schedules, vulnerabilities, licensing decisions, compatibility changes, or product discontinuations.

Coobo Media may delay an update when immediate installation is reasonably believed to create a compatibility or stability risk. Except in cases of security emergency, Coobo Media will provide Client with reasonable notice before removing or disabling installed software. Coobo Media may also quarantine, replace, or recommend replacement of software that presents a material security, stability, compatibility, licensing, or performance concern.

If a third-party component becomes abandoned, unsupported, materially vulnerable, incompatible, or otherwise unsuitable, work required to replace or rebuild affected functionality may be outside the Hosting Services and may be quoted separately.

Client may request use of a specific plugin, theme, integration, or other third-party product. Coobo Media may decline to install or support software that it reasonably believes creates unacceptable security, licensing, maintenance, or performance risk.

7. Software Licenses

Coobo Media may provide access to premium themes, plugins, security tools, backup tools, performance tools, or other software under agency, developer, or hosting-provider licenses owned or controlled by Coobo Media. Unless expressly transferred to Client in writing, those licenses remain the property or contractual entitlement of Coobo Media or the applicable licensor.

Upon termination or transfer of Hosting Services, agency-provided licenses may be removed, disconnected, or allowed to expire. Client is responsible for obtaining its own licenses if continued use, updates, support, or functionality requires them after termination.

8. Security, Malware and Incident Response

Coobo Media uses reasonable administrative and technical measures intended to reduce common website and hosting risks. No website, software stack, hosting environment, network, or security system can be guaranteed to be completely secure or immune from compromise.

Coobo Media does not warrant that security monitoring will identify or prevent every vulnerability, attack, malware infection, credential compromise, denial-of-service event, or unauthorized access attempt.

When a hosting-related security incident is identified, Coobo Media will use reasonable efforts to investigate, contain, restore, and remediate the incident within the scope of the applicable Hosting Services. Remediation made necessary by Client credentials, unsupported or client-selected software, custom code, third-party administrator access, external systems, or Client actions may be billable.

Coobo Media may suspend, isolate, disable, or otherwise restrict an affected website immediately when reasonably necessary to protect Client, other customers, the hosting environment, or third parties. Coobo Media will notify Client promptly following any such action, except where doing so would compromise security or remediation efforts.

9. Backups and Restoration

Coobo Media maintains website backups or restore points according to the capabilities of the applicable hosting platform and Client plan. Backup frequency and retention periods are defined per plan tier and communicated to Client at onboarding.

Backups are provided as a disaster-recovery convenience and are not guaranteed to capture every website change, transaction, form submission, database entry, file, or external-system record. Coobo Media does not warrant that every backup will be available, complete, uncorrupted, or restorable in every circumstance.

Standard restoration from an available backup may be included when reasonably necessary to recover from a hosting-related failure. Restoration requested for errors caused by Client, Client personnel, third-party vendors, custom code, or out-of-scope software may be billable.

Clients with mission-critical transactional data should maintain independent backup, export, or continuity procedures appropriate to their business requirements.

10. Availability, Maintenance and No Uptime Guarantee

Coobo Media monitors hosted websites and uses reasonable efforts to maintain availability. Unless Coobo Media separately agrees in writing to a specific service-level agreement, Hosting Services do not include a guaranteed uptime percentage or service-credit commitment.

Coobo Media may perform scheduled maintenance, platform migrations, updates, infrastructure changes, or emergency maintenance. Whenever commercially reasonable, Coobo Media will attempt to minimize service disruption. Emergency work may be performed without advance notice when needed to address security, stability, legal, or operational risks.

11. Third-Party Infrastructure and Providers

Coobo Media may use third-party hosting companies, cloud providers, data centers, content delivery networks, DNS providers, registrars, certificate authorities, security providers, monitoring services, software vendors, and other vendors in delivering Hosting Services.

Coobo Media is not responsible for interruptions, failures, delays, vulnerabilities, data loss, policy changes, or other events caused by third-party systems outside Coobo Media’s reasonable control, although Coobo Media will use reasonable efforts to coordinate with applicable providers and restore service where appropriate.

12. Acceptable Use and Prohibited Activities

Client may not use the Hosting Services or hosted website in a manner that is unlawful, abusive, fraudulent, harmful to others, or materially harmful to the hosting environment. Prohibited activities include, without limitation:

  • Malware distribution, phishing, credential theft, botnet activity, unauthorized scanning, intrusion attempts, or malicious code;
  • Sending or facilitating unsolicited bulk email, spam, or abusive messaging;
  • Hosting content or conducting activity that Client does not have a lawful right to publish or perform;
  • Infringing third-party intellectual-property, privacy, publicity, or other rights;
  • Using excessive resources in a manner that materially degrades services for other customers or threatens infrastructure stability;
  • Attempting to circumvent security, account restrictions, usage controls, or access controls; or
  • Using the Hosting Services for illegal activity or activity that exposes Coobo Media or its providers to material legal or security risk.

Coobo Media may suspend or restrict services immediately when Coobo Media reasonably believes continued operation presents a security, legal, abuse, infrastructure, or third-party risk. Coobo Media will notify Client promptly following any such action and provide an opportunity to cure the underlying issue where appropriate.

13. Resource Usage and Plan Changes

Hosting plans are intended for ordinary business website usage consistent with the applicable plan. Material increases in traffic, storage, bandwidth, CPU usage, memory usage, database load, ecommerce activity, or other resource consumption may require a plan upgrade, dedicated environment, additional services, or additional fees. Coobo Media will contact Client before any such change is required.

If resource usage threatens platform stability, other customers, or third-party provider limits, Coobo Media may take reasonable temporary action to protect the environment while working with Client on an appropriate solution.

14. Domains, DNS and Email

Unless expressly included in a written agreement, Client is responsible for maintaining ownership and timely renewal of its domain names. Coobo Media is not responsible for domain expiration, registrar lockouts, ownership disputes, or loss of a domain caused by Client or a registrar.

Coobo Media may manage website-related DNS records as part of Hosting Services where appropriate. DNS requests unrelated to operation of the hosted website may be outside scope and billable.

Website hosting does not include business email hosting, mailbox management, Google Workspace, Microsoft 365, or email-deliverability support unless separately stated in writing. Website-generated email depends on external mail systems and cannot be guaranteed to reach every recipient.

15. Support and Triage

Coobo Media will make reasonable efforts to respond to and triage hosting-related issues affecting website availability, security, or core functionality. Response priority is based on severity, business impact, security impact, and available resources.

Unless a separate written service level applies, stated or historical response times are targets rather than guarantees. Issues caused by third-party systems, custom code, external vendors, Client actions, or requests outside Hosting Services may require additional investigation and may be billed separately.

16. Non-Payment and Service Suspension

16.1 Notice of Non-Payment

If an account becomes overdue, Coobo Media will provide written notice to the primary contact on file. Client will have fourteen (14) days from the date of notice to bring the account current.

16.2 Suspension of Services

If payment is not received within the notice period, Coobo Media may suspend some or all services, including:

  • Disabling public access to the website;
  • Displaying a temporary service interruption notice;
  • Suspending updates, backups, monitoring, and support;
  • Restricting administrative or hosting access; and
  • Suspending website-related integrations or services controlled by Coobo Media.

16.3 Restoration

Services may be restored after all past-due balances and other amounts due are paid in full. A restoration fee of $165 will apply. Coobo Media will provide thirty (30) days advance written notice of any change to the restoration fee.

16.4 Data Retention After Suspension

Following suspension or termination, Coobo Media will retain a copy of the website for up to sixty (60) days. After that period, website files, databases, backups, staging copies, and associated data may be permanently deleted without further obligation, subject to applicable law or a different written agreement.

17. Cancellation, Termination and Website Transfer

Hosting Services are provided on a month-to-month basis with no minimum contract term required. Services renew automatically each month unless canceled in writing by email to hi@coobomedia.com. Cancellation requests received after a billing cycle has been processed will take effect at the end of the paid billing period. Prepaid hosting charges are non-refundable once a billing period has begun.

Coobo Media may require reasonable verification of website or account ownership before releasing a website backup, credentials, or other assets. Acceptable verification may include registrar or DNS access, confirmation from an authorized account holder, or matching administrative or billing information on file.

Upon cancellation and payment of all outstanding balances, Client may request a then-current export or backup of website files and database data. This request should be made before termination or within thirty (30) days after termination. Migration, transfer, DNS cutover, troubleshooting at the new host, and post-termination support are not included unless quoted separately.

Client is entitled to its website content and Client-owned intellectual property, but not to Coobo Media’s proprietary infrastructure, server configurations, management systems, monitoring tools, backup platforms, agency licenses, internal procedures, or other Coobo Media-owned technology.

18. Website Ownership and Intellectual Property

Unless otherwise agreed in writing, Client retains ownership of Client-provided website content and intellectual property. Nothing in this Agreement transfers ownership of Client content to Coobo Media.

Coobo Media retains ownership of its pre-existing materials, tools, systems, methods, templates, configurations, internal documentation, proprietary code, hosting accounts, management systems, and other intellectual property not expressly sold or assigned to Client in writing.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOSTING SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COOBO MEDIA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT SERVICES WILL BE COMPLETELY ERROR-FREE, UNINTERRUPTED, SECURE, OR COMPATIBLE WITH EVERY THIRD-PARTY SYSTEM.

Coobo Media will use reasonable professional efforts to provide and support the Hosting Services but does not guarantee uninterrupted operation of third-party products or services.

Addendum A — Vercel-Hosted Sites

A limited number of Coobo Media client sites are hosted on Vercel, a third-party deployment and hosting platform. This addendum applies to those sites and supplements the terms of the main Managed Hosting Services Agreement.

Vercel-hosted sites operate on a different technical stack than standard managed hosting plans and may not include all services described in this Agreement. Specifically:

  • Backup and restore procedures differ from those described in Section 9 and will be communicated to affected clients separately;
  • Routine update and maintenance scope may vary depending on the site’s framework and deployment configuration;
  • Support and triage for Vercel-hosted sites is provided on a best-effort basis and is subject to the limitations of the Vercel platform; and
  • Pricing and plan inclusions for Vercel-hosted sites are defined in the applicable Client proposal or order form.

All other terms of this Agreement apply to Vercel-hosted sites to the extent they are applicable to the hosting environment. Coobo Media’s Vercel hosting offering is actively being developed and these terms are subject to update as the service matures. Affected clients will be notified of any material changes in accordance with the General Terms of Service.
